Scope and Content

From the Collection:

Consists of one volume of corporation records beginning March 7, 1867 when the officers were established for the Miamisburg and Carrollton Hydraulic Company. The volume contains Board of Directors meeting minutes spanning 1867-1924. The minutes include receipts and expenditures. The volume also includes minutes from special meetings, and copies of articles of agreement, and deeds. The volume is missing its casing, and starts on page 4. A large portion out of the bottom left corner is missing from pages 4-18.

A copy of the Bill of Sale transferring all the assets and debts of the Miamisbug-Carrollton Hydraulic Company to Miamisburg Hydraulic Company, and a copy of the Certificate of Incorporation of the Miamisburg Hydraulic Company recorded on July 22, 1874 (page 168) is included in the volume.

Included with the volume is a 1920 permit from the State of Ohio Department of Public Works issued to Miamisburg Hydraulic Company. The permit grants them permission to place a dam across the Miami and Erie Canal immediately north of where the hydraulic feeder enters the Miami and Erie Canal just south of West Carrollton, Ohio.

The last pages of the volume contain minutes from a special meeting of the Directors of the Miamisburg Hydraulic Company held June 16, 1927. A vote took place to sell their real estate lying south and west of The Miamisburg Paper Company, to that company for $250.00. The final page of the volume contains minutes of a special meeting of the Miamisburg Hydraulic Company stockholders on May 10, 1946, at which Mr. R.P. Munger represented The Ohio Paper Company. Munger notified the Miamisburg Hydraulic Company stockholders that The Ohio Paper Company had acquired all outstanding stock of Miamisburg Hydraulic Company more than twenty years prior, and that he had been acting as President of Miamisburg Hydraulic Company since 1933. No formal minutes documented those facts, so the stockholders ratified all Munger's previous decisions and elected him to another term.

The latest document included with the volume is an agreement signed by Munger in 1955 to sell and convey land to the Miami Conservancy District for $1.00 for the construction and maintenance of a levee.
